EXPERIENCE

  • We acted for Designer Group in relation to its entry into a joint venture arrangement with construction services provider, Sisk.
  • We acted for Designer Group on its acquisition of facilities management, building, mechanical and electrical maintenance company, Lenmac Mechanical Services.
  • We advised CareChoice Group, the largest care home owner-operator in Ireland, on its continued growth through the largest single acquisition in the Irish care home sector in recent years; the 124 bed Marlay Care Home in South Dublin.
  • We acted for UK investment group Smith & Williamson in relation to its merger with Dublin-based accountancy firm LHM Casey McGrath.
  • We acted for Recruitment Entrepreneur (a fund led by James Caan CBE) in its acquisition of specialist Dublin recruiter 360 Search.
  • We acted for the Reihill family in the sale of Top Oil to Irving Oil, a Canadian company.
  • We advised Ndevor Systems Limited (Phorest) on an investment from US Investment firm Susquehanna Growth Equity.
  • We acted for Kouchin Holdings in the purchase of Niall Harbison’s shareholding in Lovin Media Group.
  • We advised InfraVia Capital Partners on its signing of an agreement to acquire the Mater Private hospital group from a fund sponsored by HarbourVest Partners which is managed by CapVest.
  • We advised CareChoice Group, one of Ireland’s leading nursing home operators, on its acquisition of the Ardmore Lodge care home in Dublin.
  • We acted for Atlantic Bridge and the China Ireland Growth Technology Fund in relation to their investment in DecaWave Limited.
  • We acted for Harkglade Limited in the purchase of Millbrook Linen Limited.
  • We advised Origin Enterprises Plc on the sale of the industrial chemicals division of Goulding Chemicals to Chemifloc.
  • We advised CareChoice, one of Ireland’s leading nursing home operators, on its acquisition of the Knightsbridge Care Village in Trim, from Barchester UK.
  • We acted for the Vendors in the sale of Swan Plant Hire, the Irish construction equipment rental company, to the Loxam Group.
  • We acted for Dwellworks LLC, a business to business provider of services to the global corporate mobility/relocation industry, in the purchase of, Irish based, Irish Relocation (“IrishRelo”) group.
  • We acted for Independent Newspapers (Ireland) Limited on the establishment of a joint venture, Offscript Studios Limited, with Caltray Limited
  • We advised the shareholders of Offsite Archive Storage and Integrated Services Holdings Limited (OASIS) on the sale of OASIS in a secondary buy-out backed by Montagu Private Equity (Montagu).
  • We acted for Designer Group in the purchase of the business and assets of Missouri based engineering company, PPS Group LLC
  • We acted for The ReThink Group Limited (seller) in the sale of Berkley Recruitment (Group) Limited to Almondclose Limited
  • We advised InfraVia Capital Partners on the successful acquisition of Carechoice, the second largest private owner and operator of nursing homes in Ireland, by InfraVia European Fund III.
  • We acted for the shareholders of Medisource Ireland Limited in the sale to DCC.
  • We acted for Causeway Capital in the acquisition of Celtic Linen Limited (in Examinership).
  • We acted for the shareholders of PSG Communications Limited in the sale of the entire issued share capital of the company to Teneo Strategy.
  • We acted for Top Oil in their acquisition of the Sirio fuel retail business.
  • We advised HKSE-listed TravelSky on its acquisition of Irish-based OpenJaw Technologies from GuestLogix, Inc.
  • We acted for Bemis Company, Inc. in relation to their acquisition of the medical device packaging operations and related value-added services of SteriPack Group.
  • We acted for the shareholders of Studentuniverse.com Inc. in the sale of the company to Flight Centre Group plc, the Australian publicly listed travel group.
  • We advised Posterscope Ireland Limited in relation to their acquisition of the PML Group.
  • We advised long standing client OASIS Group, a leading records and information management firm on the acquisition of the former Wincanton Ireland business from UK plc Restore Group.
  • We acted for Topaz Investments Limited in the sale of Topaz Energy Group Limited, Resource Property Investment Fund plc and Esso Ireland Limited to Alimentation Couche-Tard. We also acted in the purchase by Topaz of Esso Ireland Limited.
  • We acted for Plusvital, the Irish equine nutrition company founded in 1975, in the acquisition of Equinome, the leading bloodstock genomic testing company.
  • We acted for longstanding client, Communicorp Group Limited, in the sale of AS Radio SWH Latvia to Cinamon Holding OU, an Estonian based entertainment company.
  • We acted for the shareholders of Mobile Travel Technologies Limited in the sale of the entire issued share capital to Travelport Group Investments Limited.
  • We acted for Amartus in the sale of its telecoms network management business to Huawei.
  • We acted for the shareholders of Ardmac Group Limited in the sale of the entire issued share capital of Ardmac Group Limited to members of the management team.
